Partner terms

These terms are the agreement between you and NordTell when you join the NordTell partner programme. You accept them by ticking the box on the join screen inside the app. Plain words, as everywhere else: send us businesses honestly, and we pay you a share of what they pay us, every month they stay, with every line of it visible to you.

1. Who can join

  • You must be at least 18 and able to enter into this agreement, for yourself or for the business you represent.
  • You need a NordTell account to join. You do not need to be a paying customer.
  • One partner account per person or business.
  • Joining is free and approved straight away. We can still end a partnership under section 11.

2. Your link, and when a referral counts

  • You get a personal link: nordtell.com/r/ followed by your code. It works on any page of nordtell.com.
  • When a person opens your link, our server records the visit, and their browser remembers it for 90 days.
  • A referral counts when, within those 90 days, that person creates a new NordTell account and then becomes a paying customer.
  • The first click wins. If the person opened another partner's link first, inside that partner's 90 days, the referral belongs to the other partner, even if your link was the last one they opened.
  • An account can be referred only once.

These do not count as referrals:

  • your own account, and accounts that belong to you, your business or your household;
  • an account that already existed before the person reached your link;
  • an account created by accepting an invitation to someone else's workspace;
  • a visit that did not come from a person opening your link, for example through a hidden image or frame.

3. What you earn

  • You earn a share of every payment a customer you referred makes to NordTell, for packages, minute packs and automatic top-ups, excluding VAT.
  • You keep earning it every month for as long as that customer keeps paying. There is no end date and no cap.
  • Your share depends on your tier, and your tier depends on how many paying customers you have referred in total. A customer whose payments were all refunded or charged back does not count, and neither does a payment held for review under section 4.

  • The share is fixed on each commission at the moment it is earned. Reaching a higher tier raises what you earn from then on. It never changes a commission that is already in your ledger.
  • We may agree a different share with you in writing, for example as a reseller. That agreed share then replaces the table for you.
  • Your balance is kept in euro. A commission on a payment made in another currency is converted to euro at the reference rate NordTell uses on the day the commission is recorded.

4. Holds, refunds and chargebacks

  • Each new commission is held for 30 days, while the customer can still ask for a refund. After 30 days it becomes payable.
  • If a payment is refunded, in full or in part, or taken back by the customer's bank (a chargeback), the commission on it is reversed in the same proportion, at the share it was earned at. If the commission was still on hold, it is reduced or cancelled. If it had already become payable or been paid, a negative line is added to your ledger and set against what you earn next.
  • If a chargeback is later decided in our favour, or a refund fails, the commission comes back.
  • A customer cancelling their package does not take anything back. Only refunds and chargebacks do.
  • A payment made with a card that your own NordTell account also uses is held for review. It does not become payable, and does not count toward your tier, until we have checked it and released it.
  • Nothing is deleted from your ledger. Every change appears as a new line with its date and its reason.

5. How and when you are paid

  • When your payable balance is €50 or more, we pay it out. We pay at least once a month, and you can also ask us for your payout at any time once your payable balance is €50 or more.
  • Below €50 your balance waits and grows. It does not expire.
  • You choose how to be paid, under Payout details in your dashboard: by bank transfer to the account you give us, or as credit on your own NordTell account. Credit is added as minutes, valued at the extra-minute price of your package on the day we add it.
  • Before we can pay you, you must have accepted the current version of these terms, and for a bank transfer you must have given us the account holder's name and the bank details. Payout details can only be changed from an account with a verified email address.
  • If you ask to be paid in a currency other than euro, we convert at the rate on the day we pay.
  • We are not responsible for a payment that goes astray because the details you gave us were wrong.

6. VAT, tax and self-billing

  • Self-billing. You do not send us invoices. For every payout, NordTell issues the invoice on your behalf, based on the lines in your ledger. By accepting these terms you agree to this, and you agree not to issue your own invoice for the same amounts. We give you a copy of each invoice; tell us within 30 days if you think one is wrong.
  • Tell us your country and, if you have one, your VAT number, and tell us straight away if either changes.
  • How VAT is handled on a payout:
    • a business in Denmark that is registered for VAT: we add 25% Danish VAT to the payout;
    • a person or business in Denmark that is not registered for VAT: no VAT is added. The income is taxable in Denmark, and where the law requires us to report it to the Danish tax authorities, we do;
    • a person or business outside Denmark: no VAT is added. If you are a business in another EU country with a VAT number, this is a reverse-charge supply: we account for the VAT in Denmark, and you report the sale as your own country's rules require (usually in your VAT return and your EU sales list).
  • You are responsible for your own income tax, and for any VAT or other tax in your own country. We are not your tax advisers, so check with yours.

7. How you may promote NordTell

  • Be honest. Only say things about NordTell that are true and that you can back up, for example with what is on our website.
  • Say that you earn from the link. Wherever you share it with the public, make it clear that you are paid for referrals, as marketing law requires. The wording on the Partner kit page already does this.
  • Follow the law on marketing and data protection, including the rules for email and text messages: only contact people who have agreed to hear from you.

These are not allowed:

  • bidding on "NordTell", or names close to it, in search ads;
  • domains, profiles, pages or apps that could be mistaken for NordTell;
  • coupon, voucher, deal or cashback sites;
  • spam, bought lists, or messages to people who did not agree to them;
  • paying people, or giving them gifts, only for creating an account through your link;
  • placing your link's cookie without a person opening your link, for example with hidden images, frames or pop-ups;
  • referring yourself, your own businesses or your household.

You may use the NordTell name and the material on the Partner kit page to promote NordTell. You may not change our logo, suggest that you are NordTell, or suggest that we endorse you beyond this programme.

8. What you see about customers

  • Your dashboard shows how many people opened your link, signed up and became customers, and what you earned from each, with their email addresses partly hidden. We do not give you their contact details, or anything else about how they use NordTell.
  • If you already know a customer, for example because they are your own client, that relationship is between you and them. The customer's NordTell package is always billed by NordTell directly, and anything you charge your own client for setup, prompts or support is between the two of you.
  • You handle your own contacts' personal data under your own responsibility. We handle yours as described in our privacy policy.

9. Your relationship with NordTell

You are an independent partner. This agreement does not make you our employee, agent or representative, and you cannot sign agreements or make promises on our behalf.

10. Changes to the programme and to these terms

  • We may change the programme, the shares or these terms. We tell you at least 30 days before a change takes effect, by email and in your dashboard.
  • A change never affects a commission that has already been earned.
  • When we publish a new version of these terms, your dashboard asks you to accept it. Until you do, your link keeps working and your commissions keep being recorded, but we hold payouts.
  • If you do not agree with a change, you can leave the programme before it takes effect, under section 11.

11. Leaving, and ending a partnership

  • You can leave at any time by writing to us. From that day your link stops earning.
  • When you leave, we pay you everything you earned before you left once its 30-day hold has ended, even if the total is below €50.
  • We may suspend or end your partnership if you break these terms. Where it is reasonable, we contact you first and give you the chance to put it right.
  • If we end it because these terms were broken, commissions that came from the breach are cancelled. Commissions you earned honestly are still paid.
  • If we close the programme, we tell you at least 30 days before and pay everything you have earned.

12. Limits

The programme is provided as it is. We do our best to count every referral correctly, but we cannot promise that every visit can be tracked, for example when a browser refuses all cookies. We are not liable for lost profits or indirect loss, and our total liability to you under these terms is limited to the commissions we paid you in the twelve months before the claim, except where the law does not allow such a limit.

13. Law and language

Danish law applies, and disputes go to the courts of Denmark. These terms are written in English. The Danish, Swedish and Norwegian versions are translations for your convenience; if a translation differs from the English version, the English version applies.
